Terms and Conditions of Sale & Use

1. Introduction

These Terms and Conditions (“Terms”) govern the sale, installation, and use of all products and software supplied by Nauti-Control Ltd (“we”, “us”, “our”).

By purchasing, installing, or using a Nauti-Control product, you (“the User”) agree to be bound by these Terms.

Nothing in these Terms affects your statutory rights under the UK Consumer Rights Act 2015 or any mandatory consumer protection laws in your country of residence.


2. Intended Purpose & Safety Warning

2.1 Non-Safety Critical
Nauti-Control devices are designed solely as supplementary convenience tools for marine electronics. They are not safety-critical systems and must never be used as the primary or sole means of navigation, steering, or vessel control.

2.2 Master’s Responsibility
The Master of the vessel remains solely responsible for the safe navigation and operation of the vessel at all times.

2.3 Manual Override
You must maintain the ability to immediately resume manual control of your vessel. The product must not be used in restricted waters, heavy traffic, or conditions where a system delay or failure could result in collision, injury, or loss of life.

2.4 SOLAS / IMO Exclusion

This product is not designed, manufactured, or certified for use on vessels subject to the Safety of Life at Sea (SOLAS) Convention or any International Maritime Organization (IMO) regulatory framework.

The product must not be installed on, or used as part of, any system required for compliance with SOLAS, IMO, or any equivalent national or international maritime safety regulations.

Use of this product on such vessels or within such systems is strictly prohibited and entirely at the User’s own risk.


3. User Responsibilities

You assume full responsibility for:

  • Installation – Ensuring the product is installed correctly and safely
  • Compatibility – Verifying compatibility with onboard systems (including firmware versions)
  • Monitoring – Maintaining a proper lookout and monitoring vessel behaviour at all times
  • Maintenance – Installing recommended firmware updates

4. Technical Disclaimers

4.1 Wireless Communication
Wireless signals (including RF, Bluetooth, and Wi-Fi) may be subject to interference, latency, degradation, or complete loss due to environmental conditions, onboard electronics, or physical obstructions.

4.2 Third-Party Systems
Nauti-Control products interface with third-party systems (including, but not limited to, Raymarine, Garmin, and NMEA 2000 networks). We do not guarantee uninterrupted compatibility. Changes to third-party hardware or software may affect functionality.


5. Installation & Equipment Risk

5.1 Installation Responsibility
Installation is carried out at the User’s own risk. We are not liable for damage to vessels, wiring, or third-party equipment resulting from incorrect installation, polarity errors, or improper integration.

5.2 Professional Installation
If you are not experienced in marine electronics, professional installation is strongly recommended.


6. Limitation of Liability

6.1 Legal Exclusions
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

6.2 Financial Cap
Subject to clause 6.1, our total aggregate liability for any claim (whether in contract, tort, negligence, or otherwise) shall not exceed the purchase price paid for the product giving rise to the claim.

6.3 Exclusion of Consequential Loss
We shall not be liable for:

  • Damage to vessels, engines, or third-party electronics
  • Costs of recovery, towing, marina, or storage fees
  • Loss of data, income, or business
  • Loss of enjoyment or holiday disruption

arising from use or failure of the product.

6.4 Use at Own Risk
You use the product at your own risk. If the product behaves unexpectedly, you must cease use immediately.

6.5 Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer.


7. Warranty & Software

7.1 Limited Warranty
Products are warranted against manufacturing defects for a period of 12 months from the date of purchase, unless otherwise stated. This does not cover water damage, misuse, physical damage, or unauthorised modification.

7.2 Software
Firmware and software are provided with reasonable care and skill. While we aim for reliability, we do not guarantee uninterrupted or error-free operation.


8. Intellectual Property

All designs, firmware, software, and branding remain the property of Nauti-Control Ltd.

You may not copy, reproduce, reverse-engineer, or modify any part of the product or software without prior written permission.


9. International Sales & Compliance

If purchasing from outside the United Kingdom, you acknowledge that:

  • You are responsible for compliance with local laws and regulations
  • You are responsible for any import duties, taxes, or customs charges
  • Products are supplied to UK/EU standards and may not comply with local regulations

Wireless functionality may be subject to local restrictions. Compliance is the responsibility of the User.


10. Orders & Right to Cancel

10.1 Order Acceptance
All orders are subject to availability and acceptance. We reserve the right to refuse orders or correct pricing errors.

10.2 Statutory Cancellation
For UK and EU consumers, you have the right to cancel your order within 14 days of receiving the goods.

You may inspect the product as you would in a retail setting. A deduction may be made for any loss in value resulting from handling beyond what is necessary.

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of Northern Ireland.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.


12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
